Terms of Service

Service Terms. In exchange for the fees and other rights set forth herein, SEMrush hereby grants User a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable right during the Term, to use SEMrush's proprietary application programming interface ("API"):

  • to access and perform the Software through the graphical user interface made available by SEMrush through the platform, solely for User's internal business purposes; and
  • to display, download and export the Data received from the Platform, solely for User's internal business purposes, all in accordance with the restrictions and limitations described below ("Services").

By selecting the "I agree" button, you represent that you have carefully read, accept and agree to be legally bound by the provisions of this agreement and of any other document referenced in this agreement.

  1. Definitions. The following defined terms have the following meanings for the purposes of this Agreement:
    • "Added Value" as used herein, shall refer to substantial additional functionality offered by User to its end-customers. In a dispute over whether User's products or services offer Added Value, SEMrush's determination shall be dispositive for the purposes of this Agreement.
    • "Affiliate" with respect to a party to this Agreement, means any person or entity that directly or indirectly controls, is controlled by, or is under common control with that party (but only during the period in which that person or entity meets these requirements), where "control" means the right to exercise, directly or indirectly, the power to direct or cause the direction of the affairs, policies or management of a person or entity, whether through the ownership of voting securities, by contract, as trustee or executor, or otherwise.
    • "Agreement" means these SEMrush API Terms of Use.
    • "Calls" means User's requests to SEMrush platform on www.semrush.com.
    • "Data" means all data or other information made available to User through User's use of and access to the Software on SEMrush platform as permitted under this Agreement.
    • "Platform" means the web-based platform on the SEMrush site through which User access and use the Software as permitted under this Agreement.
    • "Software" means organized information in a form of operating systems, utilities, programs, and applications that enable computers to work.
    • "Third Party" means a person or entity that is not User or any of User's Affiliates, or SEMrush or any of SEMrush's Affiliates.
    • "Third Party Content" means all content (other than SEMrush Data) contained in the Software and their selection and arrangement, including all designs, text, graphics, video, information, music, sound and other files.
    • "User" means a physical person who uses and operates the SEMrush plarform.
  2. Restrictions and Limitations. The following restrictions and limitations apply to the Services provided hereby:
    • User must comply with the SEMrush Terms of Use at http://www.semrush.com/terms/.
    • User agrees to the following technical limits: (a) not more than ten (10) Calls per second, and (b) not more than two (2) Calls simultaneously.
    • All Calls must reference the API key issued to User (the "API Key") as an approved user of the Services. User agrees to keep the API Key confidential, and not to share it with any third party. The Services are personal to User. User may not sell, lease, share, transfer, or sublicense the Services, the API or the API Keys.
    • User agrees to follow rate limits and best practices regarding caching. User may not use the Services in any way that disrupts or threatens the Services. This includes, but is not limited to, denial of service attacks on any of the Services, hacking or breaking any security mechanism, enabling or promoting unauthorized access to the API, etc. User further agrees not to decompile, disassemble or reverse engineer any portion of the Services, the API or the Data.
    • User may not use the Services in any manner or for any purpose that violates any law or regulation.
    • If User becomes aware that any customer of User's implementation is in material breach of this Agreement, User must notify SEMrush promptly of such breach by e-mail to mail@semrush.com, and take prompt, commercially reasonable corrective action at User's expense to remedy such breach.User may modify the Data, provided that any and all usage, displays or copies of the Data, as modified by User, are limited to internal use only and are solely for the User's benefit. User's usage of Data for commercial and any other third-party services in any form without the express written consent of SEMrush is strictly prohibited.
    • User that wishes to resell, redistribute, sublicense or otherwise disclose or transfer Data with or without Added Value must contact SEMrush by e-mail to mail@semrush.com and request information about becoming a provider or reseller of SEMrush Services. A separate agreement will be required to be entered into by User.
  3. Term; Termination. This Agreement shall continue until terminated as set forth in this Section. Either party may terminate this Agreement at any time, for any reason, or for no reason including, but not limited to, if User violates any provision of this Agreement.
  4. Disclaimer of Warranties. Semrush provides the services, api, and data "as is" and "as available". Semrush expressly disclaims any and all warranties or conditions, express, statutory and implied, including without limitation (a) warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, accuracy, (b) warranties or conditions arising through course of dealing or usage of trade, and (c) warranties or conditions of uninterrupted or error-free access or use.
  5. Indemnification. User shall indemnify, defend and hold SEMrush, its agents, affiliates, and licensors harmless from any claim, costs, losses, damages, liabilities, judgments and expenses (including reasonable fees of attorneys and other professionals), arising out of or in connection with any claim, action or proceeding (any and all of which are "Claims") arising out of or related to any act or omission by User in using the API including but not limited to any infringement of any third-party proprietary rights. At SEMrush's option, User shall assume control of the defense and settlement of any Claim subject to indemnification by User (provided that, in such event, SEMrush may at any time thereafter elect to take over control of the defense and settlement of any such Claim, and in any event, User shall not settle any such Claim without SEMrush's prior written consent.
  6. Support. SEMrush's support obligations shall be limited to ensuring that the API is generally accessible by User in the manner intended by SEMrush. Any support provided by SEMrush shall be subject to the terms of this Agreement.
  7. Liability Limitation. With the exception of any indemnification obligations under section 5, in no event will either party be liable for any indirect, consequential, special, or punitive damages arising out of, based on, or resulting from this agreement or user's use of the services, or data, even if such party has been advised of the possibility of such damages or losses. Further, with the exception of any indemnification obligations under section 5, in no event will either party be liable to the other for direct damages in excess of the amounts paid or payable by user hereunder during the then-trailing twelve months. These limitations and exclusions apply without regard to whether the damages arise from (a) breach of contract, (b) breach of warranty, (c) negligence, or (d) any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law. Semrush shall not be liable for any downtime related losses to user or any other consequences related to any downtime.
  8. Intellectual Property. The API, Data, SEMrush brand, and all Intellectual Property Rights therein are owned by SEMrush and/or its affiliates. "Intellectual Property Rights" includes any and all rights existing under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights. SEMrush and/or its affiliates shall also own any and all information pertaining to usage of the Services, including but not limited to the URLs requested by User and the number and types of Calls made by User. User grants SEMrush permission to aggregate User's usage data and use that information to improve the Services and conduct research and development.
  9. Governing Law. The rights and obligations of the parties and all interpretations and performance of this Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, USA, without regard to conflicts of laws principles. The parties irrevocably and unconditionally consent to the exclusive jurisdiction of the courts of the City of Philadelphia in the State of Pennsylvania, USA, and all courts competent to hear appeals there.
  10. International Use. User agrees to comply with all rules and laws (local, regional, state, federal or otherwise, and in any and all jurisdictions that apply to User and to User's end-customers) regarding acceptable content and user conduct on the Internet. User shall not use the API in a manner that violates such laws, rules and regulations, Third Parties' rights or any SEMrush policies or in a manner that is deceptive, unethical, false or misleading. User agrees to comply with all laws and regulations regarding obscene and indecent content and communications and with all laws and regulations regarding the transmission of technical data to or from United States or another country.
  11. Third Party Content. The Data contain some Third Party Content. All Third Party Content is the sole responsibility of the Third Party that makes it available. SEMrush may sometimes review Third Party Content to determine whether it is illegal or violates SEMrush policies, and may remove or refuse to display content. Finally, Third Party Content may be subject to intellectual property rights, and, if so, User may not use it unless User is licensed to do so by the owner of that content or unless otherwise permitted by law. User's access to Third Party Content may be restricted, limited, or filtered in accordance with local laws, regulations, and policies.
  12. General provision:
    1. Modifications. SEMrush reserves the right to modify this Agreement at any time and User is responsible for checking the SEMrush site periodically for modifications. SEMrush will post a notice of any modified terms at http://www.semrush.com/api-documentation/. Any User that does not agree to the modified terms is not authorized to continue to use the Services.
    2. SEMrush, in its sole discretion, may change the functionality of the API, including, without limitation, reports, calls, requests, parameters, limits and fields. SEMrush will use reasonable commercial efforts to inform Users in advance of or contemporaneously with making any such changes.
    3. Subsidiaries and Affiliates. SEMrush has subsidiaries and affiliated legal entities around the world. User agrees that these companies may provide the APIs to him on behalf of SEMrush and these terms will also govern Users relationship with these companies.
